CaIoT Terms of Service

Master terms for CaIoT software, cloud services, marketplace, and device access.

1. Agreement to These Terms

These Terms of Service (the "Terms") govern access to and use of CaIoT Inc.'s websites, applications, cloud infrastructure, software, APIs, device access services, marketplace features, contributor programs, credits, subscriptions, and related services (collectively, the "Platform" or "Services"). By creating an account, accessing the Platform, purchasing credits, contributing a device, using a device, downloading software, using an API, or otherwise using the Services, you agree to these Terms and to the policies incorporated by reference.

If you are using the Services on behalf of a company or organization, you represent that you have authority to bind that organization, and "you" includes that organization.

2. Incorporated Policies

The following documents are incorporated into and form part of these Terms. By agreeing to these Terms, you also agree to the applicable parts of these policies:

If there is a conflict between these Terms and a referenced policy, these Terms control unless the referenced policy expressly states that it controls for the relevant subject matter.

3. Nature of the CaIoT Platform

CaIoT provides software, cloud infrastructure, remote access tools, device orchestration, streaming, automation, marketplace features, and related services. The Platform may include CaIoT-owned devices, partner-operated devices, enterprise devices, and devices voluntarily contributed by independent third parties ("Device Contributors").

Except where expressly identified otherwise, CaIoT does not own, lease, employ, supervise, control, or operate contributor-owned devices. Device Contributors voluntarily make eligible devices available through the Platform and remain responsible for their devices, connectivity, location, electricity, maintenance, taxes, insurance, and compliance with applicable laws. Customers remain solely responsible for their use of the Platform and any device they access.

4. Eligibility and Accounts

You must be at least 18 years old and have legal capacity to use the Services. You must provide accurate information, keep your credentials secure, and promptly update account details. You are responsible for all activity under your account, including activity by team members, contractors, employees, agents, or anyone using your credentials.

CaIoT may require identity, business, payment, or device verification before enabling certain features, contributor participation, payouts, enterprise access, or high-risk usage.

5. Software License

Subject to these Terms, CaIoT grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Platform and any CaIoT software solely for permitted purposes. CaIoT and its licensors retain all rights, title, and interest in the Platform, software, trademarks, interfaces, APIs, documentation, designs, code, and related technology.

You may not reverse engineer, copy, modify, resell, sublicense, interfere with, bypass security controls, extract source code from, or misuse any part of the Platform except to the extent such restriction is prohibited by applicable law.

6. Marketplace and Device Access

The Platform may enable Customers to access Android devices or other supported devices for testing, validation, demonstration, remote workflows, quality assurance, localization, automation, or other lawful purposes. Devices may be contributed by independent Device Contributors, operated by partners, operated by enterprises, or owned by CaIoT.

Device availability, model, condition, manufacturer behaviour, operating system version, network quality, location, uptime, speed, sensors, SIM availability, app compatibility, and performance may vary. CaIoT does not guarantee uninterrupted access, specific device models, specific geographies, successful test outcomes, carrier availability, bandwidth, streaming quality, or continuous device availability.

7. Customer Responsibilities

Customers are solely responsible for all activity performed through their account or sessions, including applications installed, credentials entered, data uploaded, scripts executed, tests performed, API calls, automation, commands, settings changed, content accessed, third-party services used, and legal compliance. Customers must not use the Platform for illegal, harmful, abusive, deceptive, or unauthorized activity.

Customers must comply with the Acceptable Use Policy and the Customer Agreement.

8. Device Contributor Responsibilities

Device Contributors participate voluntarily and retain ownership of their devices. Contributors are responsible for preparing devices, removing personal data, removing personal accounts, complying with local law, keeping devices in acceptable condition, maintaining power and connectivity, and paying any applicable taxes, internet, electricity, insurance, or related costs unless expressly agreed otherwise in writing.

Device Contributors are not employees, contractors, agents, representatives, partners, franchisees, or joint venturers of CaIoT. Participation does not create employment, agency, partnership, fiduciary, or similar relationship.

9. Payments, Credits, Taxes, and Billing

CaIoT may offer prepaid credits, subscriptions, pay-as-you-go usage, enterprise invoicing, promotional credits, or other billing methods. Prices, credit rates, usage rules, and billing terms may change. You are responsible for all fees, taxes, duties, and charges associated with your account, except taxes based on CaIoT's income.

Payments may be processed by third-party providers such as Stripe or other payment processors. CaIoT may suspend access for failed payment, suspected fraud, chargebacks, billing disputes, excessive risk, or violation of these Terms.

Refunds and credits are governed by the Refund & Credit Policy.

10. No Refunds; Replacement Credits

Except where required by applicable law or expressly agreed in writing, payments and purchased credits are generally non-refundable. If a verified CaIoT platform issue materially prevents use of a paid session, CaIoT may, at its discretion, provide replacement credits, restore affected credits, extend credit validity, or provide another platform remedy. Cash refunds are not the default remedy.

11. Acceptable Use

You must not use the Platform for malware, ransomware, credential theft, phishing, fraud, spam, botnets, unauthorized scraping, illegal surveillance, attacks, denial-of-service activity, account farming, SIM abuse, SMS abuse, sanctions violations, unlawful gambling, exploitation of minors, infringement, or any activity that harms CaIoT, users, contributors, devices, third parties, or platform integrity.

CaIoT may investigate, suspend, throttle, quarantine, disconnect, terminate, report, preserve records, or take other action where it reasonably believes activity violates these Terms, poses risk, or may be unlawful.

12. Security, Monitoring, and Session Data

To operate and protect the Platform, CaIoT may collect and process account information, device identifiers, technical logs, IP addresses, session metadata, performance metrics, crash data, audit records, billing records, abuse signals, and security events. CaIoT may monitor use for security, fraud prevention, diagnostics, billing, support, legal compliance, and platform integrity. CaIoT does not guarantee that it monitors every session or prevents every misuse.

13. Third-Party Services

The Platform may rely on or integrate with third-party services, including cloud providers, payment processors, analytics providers, authentication services, email providers, app stores, browser platforms, operating systems, or device manufacturers. CaIoT is not responsible for third-party services, outages, changes, terms, policies, availability, or actions.

14. Beta, Experimental, and Preview Features

Some features may be marked beta, preview, experimental, early access, pilot, or similar. These features may be incomplete, unstable, discontinued, modified, limited, or removed at any time. Beta features are provided as-is, without service commitments, warranties, or liability to the fullest extent permitted by law.

15. AI and Automation Features

CaIoT may offer AI, automation, recommendation, script generation, or analysis features. Outputs may be inaccurate, incomplete, or unsuitable for your use case. You are responsible for reviewing outputs, validating results, complying with laws, and ensuring that AI or automation use does not violate these Terms or third-party rights.

16. Intellectual Property and User Content

You retain ownership of content, applications, scripts, data, and materials you submit to the Platform, subject to the rights needed for CaIoT to provide, secure, improve, and support the Services. You grant CaIoT a worldwide, non-exclusive, royalty-free license to host, process, transmit, display, store, analyze, and use such materials as necessary to operate the Platform.

You represent that you have all rights required for content, apps, scripts, data, and materials you use with the Platform and that your use will not infringe third-party rights.

17. Suspension and Termination

CaIoT may suspend, limit, quarantine, disconnect, or terminate accounts, sessions, devices, API keys, credits, or access where CaIoT reasonably believes there is violation of these Terms, security risk, fraud, non-payment, legal risk, platform harm, or abuse. You may stop using the Services at any time, subject to outstanding obligations.

18. Disclaimers

To the fullest extent permitted by applicable law, the Platform is provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise. CaIoT disclaims warranties of merchantability, fitness for a particular purpose, title, non-infringement, uninterrupted operation, error-free service, availability, reliability, accuracy, security, and suitability for any particular testing, business, compliance, or operational purpose.

19. Limitation of Liability

To the fullest extent permitted by applicable law, CaIoT and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, punitive, enhanced, or similar damages; loss of profits, revenue, goodwill, data, use, business, or opportunities; device damage; software damage; network issues; third-party claims; or interruption arising out of or related to the Platform.

To the fullest extent permitted by applicable law, CaIoT's total aggregate liability for all claims arising out of or related to the Services will not exceed the greater of (a) CAD $100 or (b) the amounts paid by you to CaIoT for the specific Service giving rise to the claim during the twelve (12) months before the event giving rise to liability.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, liability is limited to the maximum extent permitted by law.

20. Indemnification

You will defend, indemnify, and hold harmless CaIoT and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from and against claims, damages, losses, liabilities, penalties, fines, costs, and expenses, including reasonable legal fees, arising out of or related to your use of the Platform, your content, your devices, your violation of these Terms, your violation of law, your infringement of rights, your customer or contributor activity, your misuse of devices, or your disputes with third parties.

21. Force Majeure

CaIoT is not liable for delay, failure, interruption, loss, or damage caused by events beyond its reasonable control, including internet failures, power failures, cloud provider outages, telecom failures, device failures, cyberattacks, labour disputes, natural disasters, pandemics, war, terrorism, civil unrest, government action, sanctions, export restrictions, or failures of third-party services.

22. Export Controls, Sanctions, and Global Compliance

You must comply with all applicable export control, sanctions, anti-corruption, anti-money laundering, data protection, consumer protection, telecommunications, employment, tax, and technology laws. You may not use the Platform where prohibited by law or for the benefit of sanctioned persons, restricted parties, or prohibited jurisdictions.

23. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. Subject to mandatory laws that cannot be waived, disputes will be resolved by binding arbitration in Ontario, Canada, or another forum designated by CaIoT, on an individual basis and not as a class, collective, or representative action, to the fullest extent permitted by law.

24. Changes to These Terms

CaIoT may update these Terms and incorporated policies from time to time. Updates will be posted on the website or communicated through the Platform. Continued use after the effective date of updated Terms constitutes acceptance. If you do not agree, you must stop using the Services.

25. General Terms

These Terms and incorporated policies are the entire agreement between you and CaIoT regarding the Services. If any provision is unenforceable, the remaining provisions remain in effect. CaIoT's failure to enforce a provision is not a waiver. You may not assign your rights without CaIoT's consent. CaIoT may assign these Terms in connection with merger, acquisition, financing, reorganization, sale of assets, or by operation of law. Sections that by their nature should survive will survive termination.
